Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 7, 2019, David E. Redlick notified IVERIC bio, Inc. (the "Company") that he was resigning from the Company's board of directors (the "Board") effective that same day. Mr. Redlick advised the Company that he was not resigning as a result of any disagreement with the Company. Prior to his resignation, Mr. Redlick served as independent lead director, the chair of the compensation committee and a member of the audit committee.

Following Mr. Redlick’s resignation, the Board appointed Dr. Adrienne Graves, Ph.D., as independent lead director, and reconstituted the audit and compensation committees as follows:
